Terms & Conditions
Last updated 23 September 2026
These terms govern bookings made through ClientsSetu what we do, what the professional does, what you pay, and what happens when something goes wrong. Using the platform means you accept them.
1.These terms
These terms are an agreement between you and ClientsSetu, which operates ClientsSetu. They apply every time you use the platform, whether as a customer booking a service or as a professional offering one.
If you do not accept them, do not use the platform. Separate rules cover how the website itself may be used (Terms of Use), what happens to your information (Privacy Policy) and when money comes back (Refund Policy). All four apply together.
2.Who may use the platform
You must be 18 or over and legally able to enter into a contract. If you are booking on behalf of a company, you confirm you are authorised to do so and these terms bind that company.
The information you give us your name, contact details, and anything on a professional profile must be true and kept up to date.
3.Your account
Accounts are opened against a mobile number and signed into by one-time password. Keep that number secure: anything done through your account is treated as done by you.
Tell us immediately if you think someone else has access to your account. We may suspend an account while we look into it.
4.What we do, and what we do not do
ClientsSetu is a facilitation platform. We list professionals, take bookings, handle payments and provide the tools you both use to get the work done.
We are not a law firm, an accountancy practice or a government agency. We do not provide professional advice ourselves, and the professionals on the platform are independent they are not our employees or agents. The advice and the work are theirs.
Registrations, licences, approvals and certificates are granted only by the relevant government authority. We cannot and do not guarantee that any application will be approved, or approved within a given time.
We verify the documents a professional submits before allowing them to take work. That is a check, not a warranty of the quality or the outcome of any particular piece of work.
5.Bookings
A booking is made when you select a service, confirm the details and submit it. Depending on how the platform is configured at that moment, the booking is either confirmed straight away or sent to the professional as a request that they accept or decline. The screen tells you which is happening.
The scope of a booking is the service description plus whatever you and the professional agree in writing on the platform. Keep those conversations on the platform: they are the record if anything is disputed.
A professional may decline a booking, and may cancel one they cannot complete. Where that happens after you have paid, you are refunded under the Refund Policy.
Timings, schedules and delivery modes shown on a booking are what the professional has committed to. They are not guarantees by us.
6.Prices, payments and commission
The price shown on a service is what the professional has set for it. Any discount applied by a promotion code is funded by the platform and reduces what you pay; it does not reduce what the professional earns.
Payment is taken through our payment gateway. When you may pay as soon as the booking is confirmed, or once the professional starts work is set by the platform and shown on the booking itself.
We charge the professional a commission on each completed booking, at the rate set by the platform. Where an onboarding fee applies, it is charged once, at approval, and is shown to the professional before they pay it.
Government fees, statutory charges and third-party costs are separate from the service price unless the service description says otherwise, and are payable in addition.
You are responsible for any taxes that apply to you. Invoices are issued through the platform.
7.Cancellations, rescheduling and refunds
A booking can be cancelled from the booking screen. Whether a cancellation is free depends on how far in advance it is made the cancellation window is a platform setting and is shown on the booking.
Rescheduling is agreed between you and the professional through the platform. A rescheduled booking keeps its original payment.
What is refundable, and when, is set out in the Refund Policy, which forms part of these terms.
8.If you are a professional
In addition to everything above, by offering services on the platform you agree:
- To hold, and keep current, the qualifications, registrations and licences your services require, and to give us accurate documents proving it.
- To describe your services and your prices honestly, and to keep your availability current.
- To do the work you accept, to the standard a competent professional in your field would meet, and within the time you commit to.
- To keep client information confidential and to use it only for the work booked.
- To communicate through the platform, and not to take a customer introduced by the platform off it in order to avoid commission.
- That your earnings are credited to your platform wallet on completion, net of commission, and paid out to the account you register, subject to the minimum payout amount shown in your dashboard.
- That we may withhold a payout while a dispute, chargeback or investigation involving that booking is open.
- That we may suspend or remove your listing for repeated cancellations, poor ratings, unverified credentials or breach of these terms.
9.If you are a customer
- Give the professional the information and documents the work needs, accurately and on time. Most delays come from this.
- Be available at the times you agree, and tell the professional as early as you can if you cannot be.
- Pay for the work as the booking sets out.
- Do not ask a professional to do anything unlawful, and do not use the platform to obtain a document or approval you are not entitled to.
10.Reviews and content
You may review a professional you have actually booked. Reviews must be your own honest experience. We may remove a review that is abusive, defamatory, off-topic or a fake.
Anything you upload documents, images in a dispute, profile content remains yours. You give us permission to store it and to show it to the people the platform needs to show it to in order to run the service, including our support staff when they are handling your case.
11.What you may not do
- Impersonate anyone, or use another person’s identity or credentials.
- Post false, misleading, unlawful, abusive or infringing content.
- Interfere with the platform, try to gain unauthorised access, or scrape it automatically.
- Use the platform for money laundering, fraud, or any unlawful purpose.
- Circumvent the platform to avoid fees, or solicit users off-platform for that purpose.
We may suspend or terminate an account that does any of these, and report it where the law requires.
12.Disputes about a booking
If work is not delivered as agreed, raise a dispute from the booking. You can describe what happened and attach images.
We will look at the booking record, the messages and the evidence, and decide what happens to the payment release, partial refund or full refund. We act as an intermediary applying these terms and the Refund Policy; we are not deciding the professional question at the heart of the work, and our decision does not stop either of you pursuing your own legal remedies.
13.Intellectual property
The platform, its software, design, text and the ClientsSetu name and marks belong to us or to our licensors. You may use the platform as it is intended to be used; you may not copy, resell or build a competing service from it.
Work product a professional prepares for you belongs to you or to them as your engagement with them provides.
14.Liability
The platform is provided as it is. We do not warrant that it will be uninterrupted, or that any particular professional, outcome or timeline will meet your expectations.
We are not liable for the professional advice or the work itself, for a government decision, or for loss arising from information you gave that turned out to be wrong.
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, our total liability to you for anything connected with a booking is limited to the amount you paid for that booking, and we are not liable for indirect or consequential loss, or for loss of profit, business or data.
15.Indemnity
You will indemnify us against claims, losses and costs arising from your breach of these terms, your unlawful use of the platform, or content you supplied.
16.Suspension and closure
You may close your account at any time; doing so does not cancel obligations under bookings already in progress.
We may suspend or close an account that breaches these terms, that presents a fraud or security risk, or where the law requires it. Where we can, we will tell you why.
17.Changes to these terms
We may change these terms as the platform changes. The date at the top shows when they were last revised. Bookings already placed are governed by the terms in force when they were placed.
18.Governing law
These terms are governed by the laws of India, and the courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute arising from them.
